Terms and Conditions for theITConsultant Limited Services

Welcome to theITConsultant Limited. These Terms and Conditions outline the general terms under which we provide IT consulting services. By engaging with us or using our website, you agree to these terms. For tailored agreements, specific terms will be included in your contract.

1. Scope of Services

We offer IT consulting services based on the agreed proposal or Statement of Work (SOW). Changes to the scope of services may result in additional fees and will require mutual written agreement.

2. Fees and Payment

• Our fees are outlined in the proposal or SOW and may be hourly, daily, or project based.

• Invoices are issued monthly and are due within 7 days.

• Late payments may incur interest at a rate of 1.5% per month, compounded monthly.

If you have questions or disputes about an invoice, please advise in writing, within 5 working days of receipt.

3. Expenses

You agree to reimburse us for reasonable, pre-approved expenses directly related to the project, such as travel, tools, accommodation, or software costs.

4. Confidentiality

Both parties agree to keep any sensitive or proprietary information shared during the engagement confidential. This obligation lasts for two years after the project ends, unless otherwise required by law.

5. Intellectual Property

• Any deliverables we create specifically for you, and that are fully paid for, will be your property.

• We retain ownership of pre-existing materials, tools, and methodologies but grant you a license to use them if necessary for your deliverables.

6. Liability

We aim to provide high-quality services, but we are not liable for indirect, incidental, or consequential damages, such as data loss or security issues, unless caused by gross negligence. Our liability is limited to the total fees you have paid us for the project.

7. Termination

• Either party may end the engagement with 30 days written notice.

• If the agreement ends, you’ll be billed for services provided and expenses incurred up to the termination date.

8. Data Protection

We comply with applicable data protection laws, including GDPR. You are responsible for ensuring you have the necessary permissions to share any personal data with us.

9. Independent Contractor Relationship

We operate as independent contractors and are not employees, partners, or agents of your organisation.

10. Governing Law

These terms are governed by the laws of England and Wales, and any disputes will be resolved in the courts of England and Wales.

11. Changes to These Terms
